Affiliate Agreement

Thanks for wanting to share TackNote. This Agreement covers the TackNote Affiliate Program ("Program"). By applying or participating, you agree to these terms. If you don't agree, please don't participate.

1. Joining

The Program is approval-gated. You apply, and we approve at our discretion. Once approved, you'll receive a unique referral link and a private, read-only dashboard link. Keep your dashboard link private. It's how you (and only you) view your earnings.

2. Commission

• Your commission is a percentage of the amount actually paid on each qualifying sale made through your referral link, set by your tier. If a buyer uses a discount, your commission is your tier's percentage of what they actually paid.
  • Affiliate: 15%. Every approved affiliate starts here (currently $3.75 on a $24.99 license).
  • Advocate: 20%. You move up automatically once 20 of your sales have reached their payout date described in section 4 (currently $5.00 on a $24.99 license). Refunded, charged-back, canceled and test sales don't count toward the 20.
  • Partner: 25%. For creators with 10,000 or more followers on one channel, by our review and at our discretion (currently $6.25 on a $24.99 license). Partners may also get their own TackNote page and a free license.
• A new tier's rate applies to sales made after you reach it. It does not change the commission on sales already recorded. Once you reach Advocate, a later refund does not move you back down.
• We may set an individual rate for an affiliate by written agreement. A rate set this way is never lowered by the automatic tier change.
• TackNote for Android, bought through Google Play: commission is your tier's percentage of what we receive, which is the price without tax, after Google's service fee (currently 15%). At the Affiliate tier that is currently about $3.19 on a $24.99 unlock with no tax. A price in another currency is converted to US dollars at the European Central Bank rate on the day we record the sale. A Google Play sale is yours when the buyer installed TackNote from a Google Play link that carried your code (from your link or your creator page) and buys the unlock within 60 days. Google Play does not tell us who the buyer is, so a purchase we cannot price or convert is held until we can.
• Commission is paid in US dollars.
• A sale qualifies only if it's a new, completed purchase attributed to your link and is not later refunded, charged back, or canceled.

3. Attribution

We attribute a sale to your link on a last-click basis within a 60-day window: if a buyer follows your link and purchases within 60 days (and no other affiliate's link is clicked after yours), the sale is yours. If we feature your video on tacknote.app, a visitor pressing play on it counts the same as following your link, unless they are already inside another affiliate's 60-day window, which stays that affiliate's. Attribution relies on the buyer's browser, and on the email they give us when they download the trial: if they download through your link and later buy with that same email, including from inside the app, the sale is still yours within the 60 days. We can't credit sales we can't trace (e.g., the buyer cleared their browser, then bought on a different device with a different email).

4. Payouts

• Commissions accrue as pending. We pay on the 14th of each month for the sales made in the previous calendar month (Mountain Time), so a sale on September 1 and a sale on September 30 are both paid on October 14.
• Payouts are sent to the PayPal address you provide, on the payout date, once your payable balance reaches the current minimum threshold. A balance below it carries over to the next month. We may also pay earlier.
• Refunded, charged-back, or canceled sales are reversed and removed from your balance. If a reversal happens after payout, it may be offset against future commissions.
• You're responsible for any taxes on what you earn. We may require tax information (e.g., a W-9/W-8) before paying, and may report payments where required by law. You participate as an independent party. This Agreement does not create employment, partnership, or agency.

5. How you may promote

Promote honestly. You may share your link on your own website, newsletter, videos, social posts, and communities where self-promotion is welcome.

6. What's not allowed

• No self-referrals. You can't earn commission on your own purchase (or buy through your own link to get the discount/commission).
• No spam. No unsolicited email/DMs, no posting your link where promotion isn't allowed.
• No trademark bidding. Don't bid on "TackNote" or confusingly similar terms in paid search/ads, and don't use our name in your domain, app name, or social handle in a way that implies you are us.
• No false or misleading claims about TackNote, its price, features, or your relationship to us.
• No coupon/deal-site abuse, cookie stuffing, or fake traffic of any kind.
• No fraud. Any attempt to game attribution or payouts voids all earnings.

7. Brand use

You may refer to "TackNote" to promote it and use our provided assets as-is. You may not modify our logo, claim ownership, register our marks, or present yourself as an official spokesperson. We may ask you to stop using any asset at any time.

8. Suspension & termination

Either of us may leave the Program at any time, for any reason. We may withhold or reverse commissions tied to violations of this Agreement, fraud, or reversed sales. Unpaid, validly-earned commissions above the payout minimum will be paid out following termination, absent fraud.

9. Changes

We may update the Program and this Agreement (including commission rates, tiers, hold period, and thresholds) going forward. Material changes take effect when posted here; continuing to participate means you accept them. Changes are not retroactive to commissions already earned.

10. No guarantees & liability

The Program is provided "as is." We don't guarantee any level of earnings, uptime of tracking, or availability of the Program. To the maximum extent permitted by law, our total liability to you under the Program is limited to commissions validly owed to you.
